Agreement to Terms
These Terms of Service constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you") and Sangani Group ("Company," "we," "us," or "our"), concerning your access to and use of our website and services. You agree that by accessing the website, you have read, understood, and agree to be bound by all of these Terms of Service. If you do not agree with all of these Terms of Service, then you are expressly prohibited from using the website and you must discontinue use immediately.

Intellectual Property Rights
Unless otherwise indicated, the website and all content, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by Sangani Group, its licensors, or other providers of such material and are protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
For client projects, intellectual property rights are governed by individual project agreements. Upon full payment, clients typically receive ownership of custom code developed specifically for their project, subject to the terms of the applicable service agreement.
User Representations
By using our website and services, you represent and warrant that:
- You have the legal capacity and agree to comply with these Terms of Service
- You are not a minor in the jurisdiction in which you reside
- You will not access the website through automated or non-human means
- You will not use the website for any illegal or unauthorized purpose

Project Engagements
All software development projects are governed by separate project agreements or statements of work (SOW) that outline specific terms including scope, deliverables, timelines, payment terms, and additional conditions. These project-specific agreements take precedence over these general Terms of Service where they conflict.
Payment Terms: Unless otherwise specified in a project agreement, payments are due as outlined in the applicable invoice or SOW. Late payments may result in service suspension or termination.
Project Changes: Any changes to project scope must be documented in writing and may result in adjustments to timeline and cost.
Confidentiality
We understand the importance of protecting confidential information. Any confidential or proprietary information shared with us during the course of a project engagement will be kept strictly confidential and will not be disclosed to third parties without your prior written consent, except as required by law. Specific confidentiality terms may be outlined in individual project agreements or separate Non-Disclosure Agreements (NDAs).
Prohibited Activities
You may not access or use the website for any purpose other than that for which we make the website available. The website may not be used in connection with any commercial endeavors except those that are specifically endorsed or approved by us. As a user of the website, you agree not to:
- Systematically retrieve data to create a collection or database without written permission
- Trick, defraud, or mislead us and other users

Indemnification

Governing Law
These Terms of Service and your use of the website are governed by and construed in accordance with the laws applicable to agreements made and to be entirely performed within the jurisdiction where Sangani Group operates, without regard to its conflict of law principles. Any legal action of whatever nature brought by either you or us shall be brought in the courts of competent jurisdiction, and both parties consent to the jurisdiction of such courts.
Dispute Resolution
Informal Negotiations: To expedite resolution and control the cost of any dispute, controversy, or claim related to these Terms of Service, you and we agree to first attempt to negotiate any dispute informally for at least thirty (30) days before initiating arbitration.
Binding Arbitration: If a dispute cannot be resolved through informal negotiations, it shall be finally and exclusively resolved by binding arbitration. The arbitration shall be commenced and conducted under the Commercial Arbitration Rules of the relevant arbitration association.
Changes to Terms
We reserve the right, in our sole discretion, to make changes or modifications to these Terms of Service at any time and for any reason. We will alert you about any changes by updating the "Last updated" date of these Terms of Service, and you waive any right to receive specific notice of each such change. It is your responsibility to periodically review these Terms of Service to stay informed of updates. You will be subject to, and will be deemed to have been made aware of and to have accepted, the changes in any revised Terms of Service by your continued use of the website after the date such revised Terms of Service are posted.
